“Conditions of Use” and “Conditions of Sale”
Blink Technologies FZCO and/or its affiliates ("Tradeling", "we", “our” or “us”) provide access to website features, products, and services through multiple platforms, including our website Tradeling.com/sa, mobile applications, and any related software provided by us through which Users can access, browse, list, buy, sell, and otherwise interact with products, services, and features available on the platforms (collectively referred to as the "Tradeling Services").
Definitions
“Affiliate” refers to any individual or entity that directly or indirectly controls, is controlled by, or is under common control with Tradeling. Tradeling is the trading name for Blink Technologies FZCO.
"Platform" refers to the infrastructure and tools provided by Tradeling, including the website Tradeling.com/sa, mobile applications, and any related software.
“Sellers” refer to refers to an independent third-party business that registers and is authorized to list, offer, and sell products through the Tradeling Platform under the marketplace model.
“Terms” refers to these Conditions of Use, Conditions of Sale and Service Terms.
"User" refers to any individual or entity accessing, browsing, or using any of the Tradeling Services, including but not limited to Sellers and buyers purchasing or intending to purchase products or services. References to “Users”, "you" and “Your” in these Terms shall mean the User as defined herein.
Acceptance of Terms
By accessing, browsing or using any of the Tradeling Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
By accessing, browsing or using any of the Tradeling Services, you represent and warrant that you have the authority and legal capacity to accept the Terms, and to fulfill the obligations set forth herein.
Updates to Terms
We reserve the right to update or modify the Terms at any time. Any changes will be effective upon posting on our Platform and notifying you through other appropriate channels. Your continued use of the Tradeling Services after the updates constitutes your acceptance of the revised terms.
Changes to Services
We reserve the right, at our sole discretion, to introduce new services, modify, or withdraw any of the existing services we offer. For any substantial changes to our services, we will publish the updates on our Platform and notify registered Users at least one week prior to their implementation.
CONDITIONS OF USE
These conditions of use ("Conditions of Use) govern your use of the Tradeling Services. By accessing, browsing or using any of the Tradeling Services, you acknowledge that you have read, understood, and agreed to be bound by these Conditions of Use. Additional terms, conditions, or guidelines may apply to specific services or features ("Service Terms") included on the page or section relevant to the specific service. By using such services, you agree to accept and be bound by the applicable Service Terms. In the event of a conflict between these Conditions of Use and any Service Terms, the Service Terms will prevail.
These Terms of Use govern your access to and use of Tradeling Services. They apply to all Users of the Platform, including but not limited to customers and sellers. Additional terms and conditions may apply to Sellers, including but not limited to Tradeling’s Seller Agreement. Where there is a conflict between these Terms of Use and the Seller Agreement, the Seller Agreement will prevail for Sellers.
Use Eligibility and Requirements
Users are eligible to access and use any of the Tradeling Services if they meet the following criteria:
For buyers:

You are above the legal age for purchasing products in your country of residence;

You have the legal capacity to enter into binding contracts; and
-
You are using the Tradeling Services solely for legitimate purposes, including purchasing products or services for personal or business use.
For sellers:

You are duly authorized to sell products or services under the applicable laws and regulations;

You hold all necessary licenses, permits, and certifications required to offer the products or services listed on the Tradeling platform;

You represent and warrant that all products or services you offer through the Tradeling Services comply with applicable laws, do not infringe third-party rights, and meet all safety and quality standards; and
-
You agree to fulfill all obligations related to the sale of products or services, including delivery, warranties, and refunds, in accordance with applicable laws and Platform policies.
By accessing and using the Tradeling Services, you represent and warrant that you meet the eligibility criteria outlined above. Tradeling reserves the right to verify your eligibility and restrict or terminate access to its services if you fail to meet these requirements.
Creating and Securing Your Account
To access certain Tradeling Services, you will need to create your own Tradeling account. In order to create your account, you need to provide us with certain information. You are responsible for maintaining the security of your account credentials, ensuring that all information associated with your account is accurate and up to date and accepting, to the extent permitted by law, responsibility for all actions that occur under your Tradeling account. Tradeling reserves the right to conduct such checks necessary to verify your identity.
You may need to log in to your Tradeling account and associate a valid payment method and a valid identification document to use specific services. If your selected payment method fails, we reserve the right to charge any other valid payment method linked to your account.
You must keep your account details, including your password, confidential. If you suspect unauthorized access or use of your account or password, you must inform Tradeling immediately to mitigate potential risks.
By using Tradeling’s services, you agree that the information about you or your business may be included in our database. Tradeling and its affiliates may share or use this information in accordance with our Privacy Policy.
License and Access
All rights not explicitly granted to you under the Terms are reserved and retained by Tradeling or its licensors, suppliers, publishers, rights holders, or other content providers. You are granted a limited, non-exclusive, non-transferable right to access and use the Tradeling Services strictly for lawful and authorized purposes. Misuse of the Tradeling Services, including any violation of these Conditions of Use or applicable Service Terms, will result in the termination of your access and use. Tradeling reserves the right to pursue legal action or other remedies in response to any misuse or breach.
Intellectual Property: Copyright and Database Rights
The term “Content” refers to any and all materials made available through any of the Tradeling Services, including but not limited to text, graphics, logos, button icons, images, audio files, digital downloads, and data compilations. The Content is owned by Tradeling or its authorized content providers. The Content is protected by local and international laws governing copyright, database rights, and other intellectual property rights.
You may not extract, reproduce, or reuse any part of the Content without obtaining our explicit prior written consent. This prohibition includes, but is not limited to, actions such as (i) using automated tools (e.g., data mining or scraping technologies) to gather Content for reuse, or (ii) creating a database or resource that incorporates portions of the Content, such as product listings or pricing details, derived from Tradeling Services.
Unauthorized use or reproduction of Content will result in enforcement actions, which may include legal proceedings by Tradeling or by the relevant content provider.
Intellectual Property: Trademarks and Trade Dress
Tradeling’s trademarks, including, but is not limited to Tradeling, edukaan, Blink Technologies FZCO (collectively, the "Trademarks"), and the visual identity elements of Tradeling, such as graphics, logos, page headers, button icons, scripts, service names, and the overall look and feel of Tradeling Services (collectively, the "Trade Dress"), are proprietary to Tradeling and are integral to its brand identity.
Without prior express written consent from Tradeling, you are strictly prohibited from using the Tradenames or Trade Dress in any manner whatsoever. This prohibition applies absolutely, regardless of whether such use is likely to cause confusion among customers or may disparages or discredits Tradeling.
Third-party trademarks or trade dress appearing on Tradeling Services are the property of their respective owners, who may or may not be affiliated with or connected to Tradeling.
Any unauthorized use of Tradeling's Trademarks, Trade Dress or third-party trademarks or trade dress will result in enforcement actions, which may include legal proceedings by Tradeling or by the relevant third party.
Intellectual Property Claims
Tradeling is committed to respecting and protecting the intellectual property rights of others. We expect all Users to uphold these rights when using our Platform. If you believe that your intellectual property has been used, reproduced, or displayed in a manner that infringes your rights, you are encouraged to notify us immediately with detailed information to legal@tradeling.com. Tradeling will review the matter carefully and take appropriate action.
By submitting a claim, you acknowledge that providing false or misleading information may result in liability, including damages, to the affected parties or Tradeling.
Tradeling reserves the right to reject or request additional details regarding intellectual property claims that are incomplete, unfounded, or made in bad faith.
Warranties, Representations and Undertakings
When using Tradeling Services, you warrant, represent and undertake to:

Conduct all activities in compliance with applicable laws and regulations, the Terms, and any other applicable agreements;

Ensure that all content or products you post, list, or sell are lawful, genuine, are not counterfeit or stolen and do not infringe on third-party rights;

Conduct business with other Tradeling Users in good faith, ensuring transparency and integrity in all transactions;
-
Hold all necessary licenses, permits, and certifications required for your activities;
-
Obtain and maintain all necessary licenses, permits, and certifications related to the content or products you submit, post, display or sell on the Platform;
-
Confirm that you have the necessary rights, licenses, and authority to sell, trade, distribute, or export the products listed on Tradeling;
-
Ensure that the listing of these products does not breach any regulation or third-party agreements, such as exclusive agency or distribution arrangements;
-
Confirm that neither you, your company, its directors, officers, nor affiliates are subject to any trade restrictions, sanctions, or other legal prohibitions imposed by any country, international organization, or jurisdiction; and
-
Upload requested order data for each transaction conducted on the Tradeling platform.
When using Tradeling Services, you warrant, represent and undertake not to:

Misuse the Platform in anyway, including (i) causing or attempting to cause damage, interruption, or impairment to Tradeling Services or its infrastructure, (ii) using the platform for fraudulent purposes, illegal activities, or actions that violate applicable laws, (iii) engaging in activities that cause annoyance, inconvenience, or harm to other users or to Tradeling, or engaging in activities that could create liability for Tradeling or harm its reputation.

Conduct manipulative or unauthorized actions, such as (i) impersonating another individual or entity, or misrepresent your identity or your affiliation with any person or entity, (ii) manipulating feedback or reviews by creating multiple accounts or coordinating with others to leave misleading feedback, or (iii) using Tradeling Services solely for collecting information about other users or soliciting offline sales.

Infringe on intellectual property or engage in harmful activities, such as (i) copying, reproducing, distributing, or selling any content from Tradeling without express prior written consent of Tradeling, (ii) engaging in spamming, phishing, or spreading malware or viruses, or (iii) posting counterfeit, stolen, or unauthorized goods, or violating intellectual property rights.

Reproduce, duplicate, copy, sell, resell, visit, or otherwise exploit any part of the Tradeling Services for commercial purposes without prior express written consent from Tradeling.

Use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) belonging to Tradeling without the latter’s express prior written consent.

(iii) Use meta tags or any other "hidden text" that incorporates Tradeling’s names or trademarks without Tradeling’s express prior written consent.
Tradeling’s Rights
Tradeling reserves the right to:

Refuse the provision of a service, terminate accounts, or remove content at any time and without notice if you breach any of the Terms or applicable laws and regulations.

Reject account creation requests for any reason whatsoever.

Suspend or terminate accounts, remove postings or listings, and take other necessary actions in response to a violation or a suspected violation.

Investigate any reported or suspected misuse of any of Tradeling Services.

Monitor, review, or remove any content or listings on the platform that are deemed inappropriate, harmful, misleading, or in violation of these Terms or applicable laws and regulations.

Withhold or delay payments to sellers or refunds to customers if any transaction is flagged for compliance checks, fraud investigation, or suspected violations of the Terms.

Require Users to provide additional documentation or verification, especially in cases of regulatory compliance or disputes.
Sanctions and Export Policy
Tradeling strictly abides by applicable sanctions and export regulations and expects its Users to do the same. You are prohibited from using any Tradeling Services if you, your business, or any entity or individual associated with you or your business are subject to sanctions imposed by the United States (US), the European Union (EU), the United Nations (UN), the Office of Foreign Assets Control (OFAC), the United Arab Emirates (UAE), the Kingdom of Saudi Arabia (KSA), and/or the country in which you are accessing and using any of the Tradeling Services.
As a User of Tradeling, you are required to comply with all applicable laws and regulations concerning export and re-export restrictions, including but not limited to those that apply to the transfer of goods, software, technology, and services.
Nothing in the Terms shall, or shall be interpreted or construed to, induce or require Tradeling or you to act in any manner (including taking or failing to take any actions in connection with a transaction) that is inconsistent with or penalized under any applicable laws, regulations, rules, or requirements.
Third-Party Sellers
Tradeling enables third-party businesses to list and sell their products or services at Tradeling’s Platform. The respective product detail pages clearly indicate when a product or service is offered by a third-party seller. While Tradeling facilitates these transactions by providing the Platform, it acts solely as an intermediary and is neither the buyer nor the seller of the products or services listed by third-party sellers.
The contract for the sale of third-party products is formed exclusively between the buyer and the third-party seller upon completion of a sale. Tradeling is not a party to this contract and assumes no responsibility or liability arising from or related to the contract or the transaction. The third-party seller is solely responsible for the sale, fulfillment of orders, and addressing any buyer claims, complaints, returns, refunds, or other issues arising from the transaction or contract.
Although third-party sellers are required to comply with applicable laws and regulations, Tradeling does not examine, evaluate, or warrant their offerings, actions, or content. The inclusion of third-party sellers does not imply endorsement or guarantee of their products or services, and Tradeling assumes no responsibility or liability for their actions, products, or content. Any transactions involving third-party sellers are conducted at your discretion, and you are encouraged to review their privacy policies and terms of use and sale.
Tradeling may share transaction-related information, such as your contact details and purchase data, with third-party sellers to facilitate transactions, in compliance with our Privacy Policy.
Tradeling reserves the right to monitor third-party activities, remove listings that violate laws or policies, and suspend or terminate non-compliant accounts, but is not liable for any violations committed by third parties. All products and services listed by third-party sellers are their sole responsibility, including warranties, guarantees, and return policies, and Tradeling is not obligated to mediate disputes between users and third-party sellers.
Tradeling acts solely as an intermediary and does not establish any agency, partnership, or joint venture relationship with third-party businesses or individuals.
Tradeling’s Liability
Tradeling is committed to ensuring that its services are accessible, reliable, and error-free. While we aim to make the availability of Tradeling Services uninterrupted and transmissions seamless, the nature of the internet and technology infrastructure means that uninterrupted access cannot be guaranteed. Occasionally, access to Tradeling Services may be suspended or restricted to allow for necessary repairs, maintenance, or the introduction of new features or services. We will take all reasonable steps to minimize the frequency and duration of such interruptions.
Tradeling shall not be responsible for (i) losses not directly attributable to any breach on our part, (ii) business-related losses, including but not limited to loss of profits, revenue, anticipated savings, goodwill, contracts, data or wasted expenditure, (iii) any indirect or consequential losses that were not reasonably foreseeable by both you and us at the time you commenced using Tradeling Services, or (iv) damages caused by unauthorized use, repair, or handling of the product.Tradeling will not be held liable for any delay or failure to meet its obligations under these terms due to events beyond our reasonable control, including but not limited to acts of nature, government actions, internet disruptions, cyberattacks, or other unforeseen circumstances. This does not affect your legal right to have goods delivered or services provided within a reasonable timeframe or to a refund if the order cannot be completed within a reasonable period.
As an intermediary, Tradeling facilitates transactions between buyers and sellers but does not guarantee the accuracy, quality, or legality of products and services provided by third-party sellers. Tradeling shall not be held liable for any claims, losses, or damages arising from disputes or issues with third-party sellers.
In any case where Tradeling is found liable, Tradeling’s total liability, to the fullest extent permitted by applicable law, shall be limited to the amount paid by you for the specific product or service directly giving rise to the claim.
Electronic Communications
By using Tradeling Services, you consent to communicate with us electronically. Our communication with you may take various forms, including but not limited to emails, text messages, push notifications, or interactions through other Tradeling Services. These may include verified WhatsApp chat channels, in-app customer support chat, or similar platforms.
For the purposes of any agreements, notices, disclosures, or other communications, you acknowledge and agree that electronic communications fulfill any legal requirement for such communications to be in writing, unless otherwise mandated by applicable laws requiring a specific format.
It is your responsibility to ensure the accuracy of your contact information and regularly monitor the channels through which communications are sent. We are not liable for delays or failures caused by factors beyond our control, such as incorrect contact details, network outages, or software issues.
Complaints
If you have any complaints regarding any of the Tradeling Services, you may contact us through our designated customer support channels available in-app or on our website. We are committed to addressing complaints promptly and fairly.
Notice and Procedure for Making Claims of Right Infringements
If you believe that your rights are being infringed, you may immediately reach out to legal@tradeling.com. Upon receipt of a communication we may take certain actions, including removing information or an item, all of which are taken without any admission as to liability and without prejudice to any rights, remedies, or defenses, all of which are expressly reserved.
Third party seller listings are merely hosted on Tradeling’s Platform and are posted solely at the direction of third party sellers, accessible from any of their listings.
Personalized Recommendations
As part of the Tradeling Services, we aim to enhance your experience by providing tailored recommendations for features, products, and services that may align with your interests and preferences.
While we aim to offer relevant and valuable recommendations, we make no guarantees regarding the accuracy, suitability, or availability of the suggested features, products, or services. These recommendations are provided for informational purposes only, and it remains your responsibility to evaluate their relevance to your needs.
Amendments to the Tradeling Services or the Terms
Changes to the Tradeling Services, policies, and Terms shall be governed by the provisions outlined in the sections 'Updates to Terms' and 'Changes to Services' above.
Your use of Tradeling Services will be governed by the Terms in effect at the time of your access or use. It is your responsibility to review the most current version of these Terms before engaging with Tradeling Services.
Severability
If any provision of these Terms is determined to be invalid, void, or unenforceable for any reason, that provision will be deemed severable and will not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.
Applicable Law and Jurisdiction
The Terms are governed by the laws of the Kingdom of Saudi Arabia (the “Kingdom”). Any dispute, claim, or controversy arising from or related to these terms, your use of Tradeling Services, or any products or services sold or distributed through our Platform shall be exclusively resolved by the courts of the Kingdom.
Waiver
If you violate any of the Terms and we do not take any action, this shall not be construed as a waiver of our rights. We retain the right to enforce our Terms and pursue remedies in the event of any future breaches.
Children
Tradeling does not offer products for direct purchase by children. Products intended for children are available for purchase only by adults. If you are under the legal age, you may access and use Tradeling Services only with the supervision and involvement of a parent or legal guardian.

Third Parties
When you access or use any of the Tradeling Services, you may also interact with services provided by third parties, such as wireless carriers, internet service providers, mobile platform providers, or payment processors. These third-party services operate independently of Tradeling, and your use of their services is governed by their own terms, conditions, privacy policies, or fee structures.
Survival
All terms that either expressly or by their nature survive, will survive suspension or termination of your account.
CONDITIONS OF SALE
These Conditions of Sale govern the purchase of products or services made available to you by Tradeling or its Affiliates. By placing an order through Tradeling’s Platform, you agree to be bound by these Conditions of Sale, which outline the rights and responsibilities of all parties involved in the transaction.
Order Placement and Formation of Contract
When you place an order for a product or service on Tradeling, your order constitutes an offer to purchase the specified product(s) or service(s). Upon receiving your order, Tradeling will send you an email acknowledging receipt of your order and providing the order details (referred to as the "Order Receipt Confirmation Email"). This acknowledgment confirms that we have received your order but does not signify acceptance of your offer or the formation of a contract.
The contract of sale for the ordered product(s) is concluded only when the product is shipped to you, and we send a confirmation email notifying you of the shipment (referred to as the "Shipping Confirmation Email"). If your order involves multiple shipments, each shipment will be confirmed by a separate Shipping Confirmation Email, and a separate contract will apply to the product(s) covered in that email.
Your contract for the purchase of products/services is with Blink Technologies FZCO, unless the product/service is sold by a third-party seller on the Platform, in which case your contract is directly with the Seller. and you,Tradeling and the Seller retain the right to cancel the order at no cost before the relevant Shipping Confirmation Email is sent, unless cancellation is restricted under our Refund and Return Policy.
You agree to receive sales invoices electronically. These invoices will be made available in PDF format in the "Account" section of the website and the mobile application for your convenience.
By placing an order, you authorize us or our third party payment processer to process your credit/debit card details for the amount of the order.
Cancellation of an order
You can cancel any order immediately before the relevant Shipping Confirmation Email is sent, unless cancellation is restricted under our Refund and Return Policy.
We are entitled to cancel your order in the following events:l

If the supply of the product is delayed by an event outside of our control.

If no one is available at your address to take the delivery, we will contact you to arrange a redelivery or collection of the order. If you fail to collect the order or arrange for a redelivery after our initial attempt, we will contact you again for further instructions. If, despite our reasonable efforts, we are unable to contact you or you fail to respond and arrange for the delivery or collection within a reasonable time, we reserve the right to cancel the order and issue a refund less the shipping fees.

Tradeling reserves the right to cancel the order at any time in case of a breach of our Terms or any applicable laws and regulations.
Returns, Refunds, and Ownership of Items
Tradeling retains ownership of returned items only upon their receipt at our designated fulfillment center. In certain cases, and at our sole discretion, a refund may be processed without requiring the physical return of the item. In such situations, Tradeling does not assume ownership of the refunded item.

Warranty
Tradeling offers warranties on eligible products purchased within the Kingdom, subject to the terms outlined in this section and the applicable warranty policy. The warranty provided by Tradeling is limited to repair, replacement, or refund of the defective product or part, based on the User’s preference and the feasibility of the available remedies at the time of the warranty claim. This warranty does not cover defects or damage caused by improper use, unauthorized modifications, or failure to follow the product’s instructions. You must check the product listing to know the warranty details.
For selected products, where Tradeling is the seller of record and the transaction occurs within the Kingdom, warranty services will be conducted by authorized service centers designated by Tradeling.
Products sold by third-party sellers on the Platform are subject to the warranty terms of the respective seller.
Shipping costs for returning the defective product to an authorized service center may apply.
Pricing and Availability
All prices displayed on the Tradeling Platform include any legally applicable VAT, unless explicitly stated otherwise.
While we aim to ensure the accuracy of product availability, unforeseen circumstances may result in some products being unavailable after you place your order. In such cases, you will be informed via email as soon as possible, and any payments made for unavailable products will be refunded.
Delivery estimates provided on the Platform are for reference only, are not guaranteed delivery times and should not be relied upon.
Although we make every effort to ensure the accuracy of pricing information, occasional errors may occur. If a product is mispriced, we will verify the correct price when processing your order.

If the correct price is higher than the price listed on the Platform, we will contact you to confirm whether you wish to proceed with the purchase at the correct price or cancel your order.

If the correct price is lower than the price listed, we will charge the lower amount and proceed with fulfilling your order.
Product Information
Unless explicitly stated otherwise, Tradeling does not manufacture the products sold on its Platform. We aim to ensure that the product information displayed on our Platform is accurate and up-to-date. However, the actual product packaging and materials listed on Tradeling may differ from what is displayed on the Platform. Customers are advised to review the product packaging, instructions, and specifications provided with the product upon delivery to ensure its suitability for their intended use.
All product information, descriptions, and images on the Platform are provided for informational purposes only and are not intended to substitute professional advice or the instructions provided by the product manufacturer. Tradeling strongly recommends that customers do not solely rely on the information presented at the Platform, but carefully review the labels, warnings, and instructions included with the product before use or consumption.
Tradeling is not responsible for any inaccuracies, omissions, or misstatements regarding product information that originate from manufacturers, suppliers, or other third parties. Tradeling accepts no liability for inaccuracies or misstatements about products by manufacturers or other third parties.
Customs
When ordering products from Tradeling for delivery outside of the KSA, you may be subject to import duties and taxes, which are levied once the package reaches the specified destination. Any additional charges for customs clearance must be borne by you; we have no control over these charges. Customs policies vary widely from country to country, so you should contact your local customs office for further information. Additionally, please note that when ordering from Tradeling, you are considered the importer of record and must comply with all laws and regulations of the country in which you are receiving the products.
If your order is delivered to KSA, you may be required to provide proof of residence, such as your National ID or Iqama, to facilitate customs clearance. The name on the ID must match the name on the order. Additionally, you agree to comply with all Saudi customs regulations, including any legal requirements for importing goods.
Your privacy is important to us, and we would like our international customers to be aware that cross-border deliveries are subject to opening and inspection by customs authorities.
Amendments to the Conditions of Sale
We reserve the right to make changes to our Platform, policies, and Terms. You will be subject to the Terms and policies in force at the time that you order products from us, unless any change to those or policies is required to be made by law or government authority (in which case it may apply to orders previously placed by you). If any of the Terms is deemed invalid, void, or for any reason unenforceable, that term will be deemed severable and will not affect the validity and enforceability of any remaining condition.
